Terms of Service

Effective Date: March 27, 2026

These Terms of Service ("Terms") govern your use of the Tokyo Drift platform, membership, fleet rental services, marketplace, concierge, and all related services operated by Tokyo Drift ("Company", "we", "us"). By purchasing a membership or using any of our services, you agree to be bound by these Terms.

Definitions

"Member"An individual or entity that has purchased a Tokyo Drift VIP Membership.
"In-Store Credit"The ¥1,000,000 JPY credit balance issued upon membership purchase, redeemable for fleet rentals, tour guide services, restaurant bookings, hotel bookings, and other services offered by Tokyo Drift.
"Active Status"The membership state in which all VIP perks are available to the Member. Requires meeting the annual activity requirements defined in Section 3.
"Inactive Status"The membership state in which VIP perks are paused but remaining In-Store Credit is preserved. The Member may still use their credit for fleet rentals and services.
"Car Rental Day"A single day of fleet vehicle rental, regardless of the vehicle selected.
"Marketplace"The Tokyo Drift platform where shareholders may list their allocated car-days for sale to third-party customers.
"Official Daily Rate"The standard daily rental price for each vehicle as published on the Tokyo Drift website, which may be updated from time to time at the Company's discretion.
"Shareholder"A Member who has purchased ownership shares via USDT and receives annual car-day allocations.

Membership & Credit

2.1Credit Deposit

To join Tokyo Drift, you purchase ¥1,000,000 JPY in In-Store Credit (or the equivalent in USDT at the time of purchase). There is no membership fee. The entire amount is your credit — 100% spendable on fleet rentals, tour guides, restaurants, hotels, and all other Tokyo Drift services. VIP perks and concierge services are complimentary benefits included with your credit purchase.

2.2Non-Refundable Credit

In-Store Credit purchases are non-refundable once payment is received. The full amount is immediately available as spendable credit. By purchasing, you acknowledge that the credit constitutes the value received for your payment.

2.3Credit Never Expires

In-Store Credit has no expiration date. Regardless of your membership status (Active or Inactive), your remaining credit balance is preserved indefinitely and may be used to book services at any time.

2.4Credit Redeemed at Current Rates

In-Store Credit is redeemed at the prices in effect at the time of booking. Tokyo Drift reserves the right to adjust fleet rental rates, service fees, and pricing at any time. Credit does not lock in historical pricing.

2.5Memberships Are Not Capped

There is no fixed limit on the number of memberships available. All bookings are subject to fleet availability on a first-come, first-served basis, with priority given to higher-tier members as defined by the membership tier system.

2.6No Car-Day Allocation Limit

Members may spend their In-Store Credit on any combination of services — fleet rentals, tour guides, restaurant bookings, hotel bookings, and other services — without a fixed car-day allocation. Usage is limited only by the Member's credit balance and fleet availability.

Activation & Renewal

3.1Year One Activation

To achieve Active Status, the Member must spend their full ¥1,000,000 In-Store Credit within the first 12 months from the date of purchase ("Year One"). Credit spent on any service — fleet rentals, tours, hotels, restaurants — counts toward this threshold.

3.2Lifetime Membership

Tokyo Drift is a lifetime membership. Your In-Store Credit never expires and may be used indefinitely. VIP services and perks are complimentary benefits that renew annually. Each consecutive year of active membership, the renewal top-up halves — rewarding loyalty until you reach Lifetime VIP status.

3.3Path to Lifetime VIP — The Halving Renewal

Each year of consecutive active membership, the renewal credit top-up is reduced by half. The top-up is not a fee — it is 100% In-Store Credit, fully redeemable for services. After five consecutive years, the Member achieves Lifetime VIP status with no further top-ups required.

Every top-up is 100% In-Store Credit. You are not paying a fee — you are adding credit that you spend on our services.

3.4Credit Stacking

Unused credit from previous years carries over and stacks with the new renewal credit. Credit balances are cumulative and never expire, regardless of renewal tier.

3.5Inactive Status

If a Member does not renew (i.e., does not purchase a Credit Top-Up) at the end of their membership year, the membership transitions to Inactive Status. VIP perks are paused, but all remaining In-Store Credit is preserved and may still be used for bookings at standard rates.

3.6Reactivation — Counter Reset

An Inactive Member may reactivate their membership at any time by purchasing a new Credit Top-Up of ¥1,000,000. Upon reactivation, VIP perks resume immediately and the full top-up amount is added as In-Store Credit. However, the consecutive-year counter resets to Year 1. The halving schedule begins again from the reactivation date.

3.7Lifetime VIP Status

Members who complete five consecutive years of active membership achieve Lifetime VIP status. Lifetime Members retain all VIP perks permanently with no further top-ups required. Lifetime Members may still purchase additional In-Store Credit at any time to fund bookings. Lifetime VIP status, once earned, cannot be revoked except in cases of fraud or material breach of these Terms.

Credit Usage & Gifting

4.1Booking on Behalf of Others

Members may use their In-Store Credit to book services on behalf of friends, family, or business clients. All bookings are made through the Member's account. The Member remains responsible for the booking and any associated terms.

4.2No Transfer Restrictions

There are no limits on how much credit a Member may use on behalf of third parties. Credit used for third-party bookings is considered consumed from the Member's account and counts toward the Year One spending threshold.

4.3Member Responsibility

The Member is solely responsible for all bookings made under their account, including those made on behalf of third parties. Any damage, violations, or liabilities arising from third-party use are the Member's responsibility.

4.4No Secondary Market Obligation

Tokyo Drift does not facilitate, endorse, or guarantee any private arrangements between Members and third parties regarding the use of In-Store Credit. Any such arrangements are entirely at the Member's own risk.

Trial Drive Program

5.1Trial Drive Deposit

A 10% deposit on the membership fee (¥100,000 JPY) is required to secure a trial drive. The deposit is fully refundable if the participant does not convert to a full membership.

5.2Conversion to Membership

If the participant elects to become a Member within 90 days of the trial drive, the ¥100,000 deposit is credited toward the ¥1,000,000 membership fee. The remaining ¥900,000 must be paid to complete the membership purchase.

5.3Non-Conversion Refund

If the participant does not convert to membership within 90 days, the deposit is refunded in full. Tokyo Drift absorbs the operational costs of the trial drive (insurance, fuel, tolls) as a marketing expense.

5.4One Trial Per Person

Each individual is entitled to one trial drive only. Eligibility is verified by valid government-issued identification. Repeat trial requests from the same individual will be declined.

5.5Trial Drive Availability

Trial drives are subject to fleet availability and scheduling. Tokyo Drift reserves the right to limit or suspend the trial drive program at any time.

Marketplace Rules

6.1Minimum Listing Price

Shareholders listing car-days on the Tokyo Drift Marketplace must set a price at or above the Official Daily Rate for the selected vehicle. Listings below the Official Daily Rate will not be published on the platform.

6.2Off-Platform Sales

Tokyo Drift cannot control pricing for sales conducted outside the platform. However, Shareholders who consistently undercut Official Daily Rates through external channels may be subject to review and potential suspension of marketplace privileges.

6.3Commission Structure

Self-sourced sales (where the Shareholder finds the customer) are subject to a 70/30 revenue split — 70% to the Shareholder, 30% to Tokyo Drift. Platform-sourced sales (where Tokyo Drift finds the customer) are subject to a 60/40 split — 60% to the Shareholder, 40% to Tokyo Drift.

6.4No-Show Policy

For self-sourced bookings where the customer does not show, the Shareholder owes Tokyo Drift the 30% commission. For platform-sourced bookings where the customer does not show, no charge is applied to the Shareholder. This policy reflects the operational costs incurred by the Company in preparing the vehicle.

6.5Booking Finality

Once a car-day is booked through the Marketplace, it cannot be cancelled by the Shareholder. This ensures fairness and reliability for all customers and members.

Fleet & Services

7.1Fleet Availability

All fleet bookings are subject to vehicle availability on a first-come, first-served basis. Higher-tier members receive priority booking windows as defined by the membership tier system. Tokyo Drift does not guarantee availability of any specific vehicle on any specific date.

7.2Pricing Adjustments

Tokyo Drift reserves the right to adjust fleet rental rates, service fees, and pricing at any time. Rate changes apply to future bookings only and do not affect bookings already confirmed.

7.3Service Scope

In-Store Credit may be used for: fleet vehicle rentals, tour guide services, restaurant bookings, hotel bookings, concierge services, and any other services offered by Tokyo Drift. The Company may expand or modify the range of available services at its discretion.

7.4Service Availability

Service availability is subject to seasonal demand, fleet maintenance schedules, and operational capacity. Tokyo Drift will make reasonable efforts to accommodate all bookings but does not guarantee availability of any specific service on any specific date.

VIP Perks

8.1Perks Available to Active Members Only

The following VIP perks are available exclusively to Members with Active Status: luxury airport transfer (once per year), personal concierge (24/7), ski and snowboard storage, Japan address and package handling, free Japan SIM card, hotel discounts (10-20% off), and priority fleet booking.

8.2Perks Paused During Inactive Status

When a membership transitions to Inactive Status, all VIP perks listed in Section 8.1 are immediately paused. Perks resume upon reactivation as defined in Section 3.4.

8.3Perk Modifications

Tokyo Drift reserves the right to modify, add, or remove VIP perks at any time. Members will be notified of material changes. The Company will make reasonable efforts to maintain or improve the overall value of the VIP perk package.

8.4Non-Transferable Perks

VIP perks are personal to the Member and cannot be transferred to third parties. The luxury airport transfer, for example, is for the Member's personal use only.

Payment & Currency

9.1Accepted Payment Methods

Tokyo Drift accepts: cash (JPY), bank wire (HSBC), and USDT (TRC-20 and ERC-20 networks).

9.2USDT Pricing

The USDT membership price is set at $8,000 USD equivalent. USDT is pegged to USD. The JPY equivalent is ¥1,000,000. Currency risk arising from exchange rate fluctuations between JPY and USD/USDT is borne by the paying party.

9.3Ownership via USDT

Ownership shares (Shareholder status) are exclusively available to Members who pay via USDT. Other payment methods grant Membership and In-Store Credit but do not confer ownership rights.

9.4No Refunds

All membership payments are final and non-refundable. The full payment amount is converted to In-Store Credit, which constitutes the value received. Chargebacks or payment disputes may result in immediate suspension of the membership and all associated services.

Identity & Licensing

10.1Valid Driving License Required

Any individual operating a Tokyo Drift fleet vehicle must hold a valid driving license recognized in Japan. This includes: a valid Japanese driver's license, an International Driving Permit (IDP) from a Geneva Convention country, or a foreign license from a country with a bilateral agreement with Japan (with official Japanese translation where required).

10.2Identity Verification

Tokyo Drift reserves the right to verify the identity of any person operating a fleet vehicle or using services booked under a Member's account. Valid government-issued identification must be presented upon request.

10.3Member Liability for Third-Party Drivers

When a Member books a vehicle on behalf of a third party, the Member is responsible for ensuring the driver holds a valid license and meets all legal requirements. The Member assumes liability for any violations or damages caused by the third-party driver.

Liability & Insurance

11.1Insurance Coverage

All fleet rentals include comprehensive insurance coverage. Third-party liability is fully covered. Damage to the vehicle has a minimum excess of ¥200,000, which can be reduced to ¥50,000 with the Premium Insurance add-on.

11.2Member Liability

Members are liable for damage to fleet vehicles up to the applicable excess amount. Intentional damage, gross negligence, or use under the influence of alcohol or drugs voids all insurance coverage, and the Member assumes full liability.

11.3Limitation of Liability

Tokyo Drift's total liability to any Member, whether in contract, tort, or otherwise, shall not exceed the amount of In-Store Credit remaining in the Member's account. Tokyo Drift is not liable for indirect, incidental, or consequential damages.

11.4Force Majeure

Tokyo Drift is not liable for failure to perform obligations due to events beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, or infrastructure failures.

Modifications & Termination

12.1Modifications to Terms

Tokyo Drift reserves the right to modify these Terms at any time. Material changes will be communicated to Members via email or platform notification at least 30 days before taking effect. Continued use of services after the effective date constitutes acceptance of the modified Terms.

12.2Termination by Tokyo Drift

Tokyo Drift may terminate a membership for: (a) fraud or misrepresentation, (b) repeated violations of these Terms, (c) illegal activity, or (d) conduct that materially harms the Company or other Members. In the event of termination for cause, remaining In-Store Credit may be forfeited.

12.3Voluntary Withdrawal

Members may voluntarily withdraw from the program at any time. Remaining In-Store Credit is preserved and may be used for future bookings, but no cash refund is available. VIP perks cease immediately upon withdrawal.

Governing Law

13.1Jurisdiction

These Terms are governed by and construed in accordance with the laws of Japan. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Tokyo, Japan.

13.2Dispute Resolution

Prior to initiating legal proceedings, the parties agree to attempt resolution through good-faith negotiation. If negotiation fails, disputes shall be submitted to mediation before a mutually agreed mediator in Tokyo. If mediation fails within 60 days, either party may proceed to litigation.

13.3Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13.4Entire Agreement

These Terms, together with any supplementary agreements or policies published on the Tokyo Drift platform, constitute the entire agreement between the Member and Tokyo Drift.
